Job Summary:
- Handle compliances under Companies Act, SEBI Listing Regulations, and Secretarial Standards related to board and committee meetings; assist in board meeting activities, including drafting agendas, minutes, and collating information from relevant stakeholders.
- Ensure compliance with all applicable laws, regulations, and corporate governance guidelines.
- Monitor compliances under the SEBI (Prohibition of Insider Trading) Regulations, 2015.
- Support in drafting the Annual Report, BRSR, general meetings, and postal ballot.
- Manage dividend-related compliance as per the Companies Act and SEBI Listing Regulations.
- Maintain registers under the Companies Act, ensuring timely filings with ROC and stock exchanges. Prepare and submit all necessary filings and disclosures to relevant regulatory authorities, such as annual returns, statutory filings, and announcements, within the prescribed timelines.
- Manage shareholder communication and investor servicing, including handling IEPF claims and dividend-related inquiries.
- Monitor changes in regulatory amendments applicable to the company and collaborate with the team for implementation.
- Continuously monitor and stay abreast of changes in laws, regulations, and corporate governance practices to ensure the company's compliance and recommend improvements where necessary.
- Assist the Company Secretary in other day-to-day matters and special projects, if any.
Requirements
- A minimum of 10+ years of experience in a similar role is preferred.
- Proven expertise in handling compliance with the Companies Act, SEBI regulations, and corporate governance standards.
- Strong knowledge of legal and regulatory frameworks applicable to listed companies.
- Excellent organizational and communication skills, with the ability to effectively manage multiple tasks and stakeholders.
- Detail-oriented with a proactive approach to monitoring regulatory changes and implementing necessary compliance measures.
- Strong interpersonal skills and the ability to work collaboratively within a team.
